By accessing or using GrantReady.app, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not have been previously suspended or removed from the Platform

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Ensure that the information you provide is accurate and kept up to date

4. Platform Services

GrantReady.app provides a grant readiness platform that includes:

• A 12-level grant readiness assessment framework
• Readiness scoring and gap analysis
• AI-powered grant coaching and advisory tools
• Funder matching and grant discovery
• Readiness reports and compliance tracking
• Budget building and document management tools

Grant awards depend on many factors outside our control, including your organization's readiness, funder decisions, competition levels, and market conditions. Our tools are designed to help you prepare, but success is not guaranteed.

5. Subscription and Payments

All GrantReady.app plans are paid subscriptions. There is no free tier or trial period. The available plans are:

• Professional ($99/month or $990/year): Readiness assessment, AI grant discovery and matching, compliance calendar, SF-424 budget tools, up to 3 team members
• Enterprise ($249/month or $2,490/year): Everything in Professional, plus unlimited organizations, up to 10 team members, advanced analytics, dedicated account manager
• White-Label ($749/month or $7,490/year): Everything in Enterprise, plus custom domain and branding, client management dashboard, multi-tenant architecture

Billing terms:

• All prices are in US dollars (USD)
• Subscriptions automatically renew unless cancelled
• You may cancel anytime — access continues through the end of your current billing period
• All sales are final — there is no free trial and no money-back guarantee
• Prices may change with 30 days' notice communicated via email or platform notification

6. Intellectual Property

All content, features, and functionality on GrantReady.app — including the readiness framework, assessment questions, text, graphics, logos, and software — are owned by Sable Echelon Innovations LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content and data you upload to the Platform (organization information, documents, budgets, grant applications). By using the Platform, you grant us a limited license to store, process, and display your content as necessary to provide our services to you.

7. User Conduct

You agree not to:

• Harass, abuse, or harm other users of the Platform
• Upload or distribute illegal, harmful, or offensive content
• Scrape, data mine, or systematically extract data from the Platform without permission
• Attempt to hack, disrupt, or gain unauthorized access to the Platform or its systems
• Share your account credentials with others or allow multiple people to use a single account
• Use the Platform for any unlawful or fraudulent purpose
• Reverse engineer or attempt to extract the source code of the Platform

8. Privacy and Data

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Platform, you consent to the data practices described in our Privacy Policy.

9. Third-Party Services

The Platform may link to or reference external resources such as Grants.gov, SAM.gov, funder websites, and other third-party services. We are not responsible for the content, accuracy, or availability of these third-party resources. Your interactions with third-party websites are solely between you and that third party.

10. Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that you will be awarded any grant funding. Grant awards depend on factors outside our control, including your organization's readiness, funder decisions, and competitive conditions.

TO THE FULLEST EXTENT PERMITTED BY LAW, SABLE ECHELON INNOVATIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Sable Echelon Innovations LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your business activities, grant applications, or contracting pursuits

12. Termination

You may terminate your account at any time by contacting support or through your account settings.

We may suspend or terminate your account for violations of these Terms or for any other reason at our sole discretion. If we terminate your account for business closure reasons, we will provide 30 days' notice via email.

Upon termination, your right to use the Platform ceases. You may request a copy of your data within 30 days of termination, after which we may permanently delete your data.

13. Dispute Resolution

Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Binding arbitration: Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered in Sheridan, Wyoming. The arbitrator's decision shall be final and binding.

No class action: You agree that any arbitration or legal proceeding shall be conducted on an individual basis, not as a class action or representative proceeding. You waive the right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via email or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
